Star of the Sea NIL Marketplace

Star of the Sea NIL Marketplace is a digital platform designed to facilitate NIL (Name, Image, and Likeness) transactions between athletes and businesses or individuals. We are not a legal party to NIL contracts. We provide tools, access, and oversight but reserve full discretion over deal approvals and platform operations.
You must be at least 18 years of age to use this platform, or have the consent of a parent/legal guardian. You affirm that all information provided is truthful, current, and complete.
By registering and using the platform, you grant us full and unrestricted access to all information you submit or post, including personal, financial, and professional data. We may use, analyze, store, retain, and share this data to operate the platform, verify compliance, resolve disputes, and for marketing or editorial purposes.
You grant Star of the Sea a worldwide, perpetual, royalty-free, sublicensable, irrevocable license to use, distribute, publish, adapt, modify, and display any content you submit, including logos, images, videos, NIL deal details, and any communications through the platform. We may share your content with media, partners, affiliates, or sponsors, and you waive any right to compensation or approval.
All NIL deals are subject to review, approval, rejection, modification, refund, or removal at our sole discretion. We are not liable for the completion or success of any NIL deal. We have the final say in whether athletes are paid or refunded and whether a deal proceeds or is canceled.
Payments must be processed through the platform. Refunds are issued solely at our discretion, especially in cases of dispute or platform violation. We are not liable for third-party payment processing errors.
Users are fully responsible for complying with NCAA, state, institutional, or school NIL laws. Star of the Sea does not provide compliance guidance, and participation may affect athletic eligibility.
You are solely responsible for reporting and paying taxes related to NIL earnings. We do not offer legal or financial advice.
We do not guarantee uninterrupted access. Downtime may occur for maintenance, upgrades, or unforeseen issues. We are not liable for any resulting loss.
You grant us the right to use your name, image, likeness, and NIL deal summaries in promotional, editorial, and marketing materials without further approval or compensation.
You agree to hold Star of the Sea harmless from any damages, losses, or claims arising from your use of the platform or any deal made or attempted on the platform. You indemnify us against any third-party claims related to your conduct.
You may not misrepresent your identity, use bots or scrapers, circumvent our systems, post illegal or offensive content, or engage in fraud or harassment. Violation may result in permanent suspension.
You are responsible for maintaining the confidentiality of your account and password and for all activity conducted under your account.
We may suspend, terminate, or restrict your access at any time with or without cause or notice. Suspicious, fraudulent, or inappropriate activity may result in permanent banning.
All content, software, trademarks, and features of the platform are our exclusive property. Unauthorized use is strictly prohibited.
We are not liable for delays or failures due to events beyond our control, including natural disasters, pandemics, or internet outages.
Unresolved disputes must be handled through binding arbitration under Texas law. You waive the right to a jury trial or class-action lawsuits.
These Terms are governed by the laws of Texas. Any legal action must be brought in Harris County, Texas.
Use of the platform does not establish any partnership, joint venture, employment, or agency relationship.
We may change these Terms at any time. Continued use of the platform constitutes your acceptance of any changes.
These Terms and our Privacy Policy constitute the entire agreement between you and Star of the Sea.
By using the platform, you confirm that you understand and agree to all terms stated above. You consent to our access and use of your content and waive liability for platform usage.
